Terms and Conditions

Introduction

The following documentation outlines the Terms and Conditions of all Creative Resolve Ltd projects, unless stated otherwise at the start of a project. By accepting a project brief you are agreeing to the terms and conditions outlined herein.

Definitions

Creative Resolve – Creative Resolve Ltd, the company

The Client – An individual, group or company who have hired Creative Resolve

Project brief – The contract between Creative Resolve Ltd and the Client relating to their project.

Project(s) – A selection of work/services Creative Resolve Ltd has been requested to provide by the Client, warranting a unique project brief, development schedule and set of costs.

Job(s) – Services provided by Creative Resolve Ltd to the Client which are not extensive or broad enough to warrant the production of a project brief. Jobs may for example include (but are not limited to) changes to an existing web site.

Rates, Prices and Quotations

Prices for Projects are determined on a per project basis and are quoted prior to any development beginning, including the creation of the project brief.

Prices for Jobs are available upon request. Creative Resolve reserves the right to update these prices without consent.

Our standard hourly rate is 40.00GBP per hour, with half an hour being the minimum charge for any work produced.

All prices are given in GBP (Pounds Sterling), with quotes being valid for up to three months after the date of quotation. Creative Resolve Ltd reserves the right to amend or reassess quotes after this period.

Creative Resolve has the right to change its hourly rate without notice, but any projects or contracts in production at the time of change will not be effected.

In the case of quotes generated for Monthly Jobs (see below), Creative Resolve reserves the right to update quotes to reflect any new work or services requested by the client.

Special offers and discounts

First consultations are free of charge, but Creative Resolve reserves the right to charge a call out fee to clients who require that we travel to their location. Any such charges will be quoted in writing beforehand, and must be accepted before any Creative Resolve employee’s travel to meet the client.

Our proposals and project briefs are developed free of charge. Creative Resolve reserves the right to charge for the production of project briefs which are likely to take over 4 hours to produce, though we will contact and agree upon a price with the client before any work commences.

Development Procedure’s

Projects

Projects are organised into three core stages:

Stage One: Concept (where ideas as produced, discussed and approved)

Stage Two: Develop (designs established during the concept stage are built to production standard)

Stage Three: Production (final materials are submitted)

Jobs

Jobs and changes to existing media (such as web site updates) must first be submitted to Creative Resolve in writing. Should the client submit a job to Creative Resolve without requesting a quote be produced prior to commencement, Creative Resolve reserves the right to commence and charge by the rates specified in the latest version of its job price sheet.

Any charges the client accumulates for jobs produced during the course of a month will be submitted to their monthly quote. On the first working day of the following month, this quote is converted to an official invoice and submitted to the client for payment.

Additional charges, Client Delays and Unpaid Invoices

If during the course of the project the Client should request additional materials be purchased for use on their content, or that further services be incorporated (such as copy writing) into the project, Creative Resolve reserves the right to add any charges to the client’s bill.

Creative Resolve reserves the right to refrain from completing any work until the necessary invoices have been paid, likewise Creative Resolve is not responsible for any delays which occur as a result of the client failing to pay required invoices, or failing to provide required materials for project development.

Should the project require changes as the result of delays caused by the client, Creative Resolve reserves the right to charge additional costs to commit these changes.

Invoices must be paid within fourteen days from the date of invoice. Invoices which have not been paid by the date stipulated will be subject to a 10% interest rate for each day that the payment remains outstanding.

Exceptions will be made only if an alternative timescale is agreed upon in writing within seven days of the invoice being submitted.

In the event that Creative Resolve agrees to put a web site live or commit final materials to the client before final payment is received, a final payment date must be agreed upon and adhered to. In the event that the client fails to pay, Creative Resolve reserves the right to take the web site offline, or begin legal proceedings to ensure payment is made swiftly.

Timescales and Deadlines

If the client has specific deadlines, these will be discussed, agreed upon and included in the project brief. Creative Resolve will adhere to these deadlines, but cannot be held responsible for any delays which occur as a result of delayed payments by the client, failure to submit required materials in time, or the submission of additional change requests which fall outside the agreed project specification.

Subcontracted Work

In some cases, Creative Resolve will subcontract work to trusted associate companies. If the client requests or the complexity of the project requires it, we will establish direct contact between the third party and client.
